Tarnua builds products that use artificial intelligence. This Website is informational. Messages you send us, through the contact form or by email, are read and answered by a person. 13. The Scoping Sprint and builds
13.1 What we offer. We build small software and AI automation for manufacturing and industrial sites, on the records side of a site: maintenance and repair records, spare parts, reports, scheduling and paperwork. We do not work on machine control, safety functions, PLC or SCADA systems, or plant and control networks, and we do not build AI that monitors, scores or ranks workers.
13.2 What governs a paid engagement. These Terms apply to your use of this Website and to your enquiries, the free call and our other dealings before a Client Services Agreement is signed. A paid engagement, including a Scoping Sprint, exists only once a Client Services Agreement, its Statement of Work ("SOW") and its Data Processing Agreement have been signed by both parties (together, the "Signed Agreement"), and it is then governed exclusively by the Signed Agreement. This section summarises how a paid engagement works, for your information. If anything in it differs from a Signed Agreement, the Signed Agreement governs.
13.3 How it starts. Every engagement begins with a free call, normally 30 minutes, about one task at your site. That call is free and carries no obligation. Where you buy a Scoping Sprint, the 60-minute kickoff session included in the Sprint is part of the paid engagement and is not the free call. After the call we send a written proposal or SOW setting out the scope, deliverables, timeline and price. An engagement starts only when (a) you have accepted the proposal or SOW in writing, (b) a Client Services Agreement and Data Processing Agreement, with its processing annexes completed, have been signed by both parties, and (c) any agreed deposit has been received. No work involving personal data begins before the Client Services Agreement and the Data Processing Agreement are signed. Any change to an agreed scope must be requested in writing and may change the price and timeline.
13.4 Prices. Our current prices are:
| What | Price | Delivery |
|---|---|---|
| Scoping Sprint | €900 fixed, ex VAT | Within one week of kickoff |
| A build | Fixed in the Sprint’s written quote | Set in its statement of work |
Prices exclude VAT, which is added at the applicable Irish rate where required. A Scoping Sprint includes one 60-minute kickoff session, a written scope for one task at your site, a prioritised shortlist that says plainly where something is not worth building, and a fixed price for the build.Where you accept our written build quote within 30 days of receiving the Scoping Sprint deliverables, €450 of the Sprint fee is credited against that build, whenever the build contract is then signed. A build is priced in the Sprint's written quote, and the scope says when a build could start. We are not yet taking Sprints from firms in regulated professions: solicitors, accountants, and property and engineering practices. A free call is still open to them.
13.5 Payment. Payment terms are set in your SOW. Standard terms are a 50% deposit when the engagement starts and 50% on delivery, unless otherwise agreed in writing. Invoices are payable within 14 days of issue unless the SOW says otherwise. We may pause or withhold delivery while an invoice is unpaid after its due date. All payments are in euro (€); bank transfer details are given on the invoice.
13.6 Third-party running costs. A delivered system may depend on third-party services, such as hosting, an app store account or an AI model API. Unless your SOW says otherwise, you hold those accounts in your own name and pay those providers directly. We do not resell, recharge or add a margin to them, and they are not included in the prices in section 13.4. Where we estimate those costs for you, the estimate is calculated from the volumes you give us and is not a quotation, a cap or a guarantee. Third-party prices and terms can change without notice and are outside our control. If you stop paying a provider, the part of your system that depends on it stops working, and that is not a defect in our deliverable.
13.7 Delivery. Delivery timelines are stated in your SOW. They are indicative and depend on you providing information, access and approvals in time. Delays caused by your not providing information or approvals that were needed do not entitle you to a refund or a price reduction.
13.8 Intellectual property. Custom code, workflows, configurations and deliverables created specifically for your engagement ("Deliverables") become your property once you have paid in full. We keep ownership of any tools, frameworks, methods, templates or components that existed before your engagement and are used in delivering it ("Background IP"), and grant you a non-exclusive licence to use Background IP as it is built into your Deliverables. We will not name you, describe your engagement, or use it as an example in public without your written consent.
13.9 Data protection. Where we process personal data on your behalf while delivering an engagement, we act as your processor and you are the controller, under the Data Processing Agreement you sign with the Client Services Agreement. Our standard Data Processing Agreement is available on request at hello@tarnua.ie. You are responsible for having a lawful basis to share any personal data with us.
13.10 Warranties. We deliver with reasonable skill and care. We do not warrant that software or AI automation will be error-free, uninterrupted or suitable for every purpose. AI outputs can be inaccurate or incomplete, and a person should review AI-generated content before it is used for important business decisions. Third-party services and platforms we integrate with are outside our control, and we are not liable for their outages, changes or failures.
13.11 Liability. To the fullest extent the law allows, our total liability to you for any claim arising out of or relating to a paid engagement is limited to the total fees you paid us in the 12 months before the event giving rise to the claim. We are not liable for any indirect, incidental, consequential or special damages, including loss of profits, loss of data or loss of business opportunity. Nothing in these Terms limits liability for death or personal injury caused by negligence, for fraud, or for any other liability that cannot be excluded under Irish law.
13.12 Cancellation and refunds. You may cancel an engagement before it starts for a full refund of any deposit paid. If you cancel after it has started, we invoice for the work completed to date; any deposit paid is set against that amount, and any shortfall is payable within 14 days. If we cannot deliver the agreed scope for reasons within our control, we refund in full the amounts paid for work not delivered.
13.13 Ending an engagement. Either party may end an engagement by written notice if the other materially breaches it and does not remedy the breach within 14 days of written notice. We may suspend or end an engagement immediately if we reasonably believe our deliverables are being used for an unlawful purpose.
